Terms of Service
These terms apply to useiris.ai and to the IRIS service operated by Nu Haus Digital Marketing LLC ("IRIS", "we"). If your company has signed a services agreement or order form with us, that document governs and prevails wherever it differs from these terms.
1. The service
IRIS provides an investor concierge, a presentation viewer, visitor analytics and a console for a company's investor-relations team. Answers given by the concierge are drawn from the company's own public disclosure. IRIS does not provide investment advice, does not recommend buying or selling any security, and is not a broker, dealer or adviser.
2. Accounts
Console access is by named login. Keep your credentials confidential, tell us promptly about any unauthorised use, and do not share a login between people. We may suspend access that threatens the security of the service.
3. Client responsibilities
- The content you approve for the concierge, your emails and your website remain your responsibility, including compliance with securities, anti-spam and privacy law.
- You will only upload or email contacts you are entitled to contact, and you will keep a privacy notice on your site that describes your use of IRIS.
- You will not use IRIS to send unlawful, misleading or promotional statements about securities.
4. Fees, renewal and cancellation
- Fees. The plan, the monthly or annual fee, the one-time setup fee and any itemised pass-through costs are stated in your order form. Prices do not change during a paid term.
- Billing. Monthly plans are invoiced monthly in advance. Annual plans are invoiced once, in advance.
- Renewal. Monthly plans continue month to month. Annual plans renew for a further twelve months only if we have reminded you in writing at least 45 days before the renewal date and you have not cancelled. Any price change at renewal is notified at least 60 days before it takes effect.
- Cancellation. You may cancel at any time by email to hello@useiris.ai or to your account contact. A monthly plan ends at the close of the month in which notice is given. An annual plan ends at the close of its paid term, with no further charge.
- Refunds. Setup fees are not refundable once setup work has begun. If we end the service without cause, we refund the unused part of any prepaid fee.
- After cancellation. We remove the widget and tracker, provide an export of your data on request, and delete it within 90 days.
5. Data protection
Our Privacy Policy describes how personal information is handled. Where we process personal data on a Client's behalf, the Data Processing Agreement applies.
6. Acceptable use
Do not attempt to access another customer's data, probe or overload the service, use the concierge to obtain content unrelated to the company it serves, or scrape the service. Automated requests are rate limited.
7. Intellectual property
We own the IRIS software and brand. You own your content and your data. You grant us the rights needed to operate the service for you.
8. Availability and changes
We aim for continuous availability but do not guarantee it, and may change features with reasonable notice where a change materially reduces the service.
9. Disclaimers and liability
The service is provided as is. To the extent permitted by law, we exclude implied warranties, and our total liability arising from the service is limited to the fees paid in the twelve months before the claim. Neither party is liable for indirect or consequential loss. Nothing limits liability that cannot be limited by law.
10. Governing law
These terms are governed by the laws of the State of California, USA, unless your services agreement says otherwise.
